Please read these Terms of Service (“Terms”, “Terms of Service”) carefully before using echelonlocal.com website (the “Service”), registered as ECHELON LOCAL, a brand subsidiary of THE CITYSPOTZ NETWORK, INC (“us”, “we”, or “our”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all of its visitors, users, subscribers, customers, clients, and others who access and/or use the Service.
By accessing and/or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, the access to and use of the Service is strictly prohibited.
When you create an account with us, whether it be for business profiles, promotions, notifications, bookings, ad campaigns, real estate marketing, events, or any paid subscriptions to push/publish content on your behalf and/or to our partners, you must provide us with information that is accurate, complete, current and verifiable at all times. Failure to do so constitutes a breach of our Terms, which may result in immediate termination of your account, postings, and subscriptions on our Service, which includes no refund.
Every user is personally responsible for safeguarding their username and password that is used to access the Service and for any activities or actions under your username and password. This also applies to your username and password when being used with our Affiliates and/or Partners, or connecting through us to a partner site, product, or third-party service.
You agree not to disclose your login details (username and password) to any third party, whether it be a person or entity. You must notify us immediately upon becoming aware of your login details being compromised as well as any breach of security or unauthorized use of your account.
A monthly subscription for Echelon Local’s products or packages will begin once an account is created with verifiable contact information and content. Any listing or subscription marked as free, does not require payment, however, it may require credit card verification before approval which we deem as means to confirm the account holder’s identity. When a monthly Echelon Local subscription is purchased, the subscriber is bound to a semi-annual or annual contract consisting of 6 to 12 monthly installments. The auto-renew is automatically set within the initial purchase process, which requires the subscriber to have an active credit/debit card saved to their account for automatic monthly billing. Subscribers must complete at least a 6-month term, for any billing adjustment or consideration for account termination. Before the end of each monthly billing period, the account subscription will automatically renew and bill for an additional term of 30 days until the 6 or 12-month mark is reached. At this time, If the customer does not wish for the subscription to bill again, they may disable the auto-renew box in their Account Dashboard before the end of their 6th or 12th month of subscription installments, however, billing will not cancel until the end of the following 30-day period. Be advised, cancellation policies may vary with each subscription and promotion. Ask an Echelon Local / CitySpotz Network Representative for more detailed information if needed.
An annual subscription for Echelon Local products or packages will begin once an account is created with verifiable contact information and content. The subscription will be billed in advance and cover one year (12 months). When an annual subscription is purchased, auto-renew is automatically set in your Account Dashboard. Before the end of the annual subscription period, Echelon Local via the CitySpotz Network will extend the terms of your subscription through auto-renewal for an additional year. If you do not wish for the subscription to auto-renew, you may disable or modify the method of future billing in your Account Dashboard before the ending of the annual subscription term. Any promotion or special offering extended during the initial account setup will not carry over into the new billing cycle unless special rates are set to carry over for renewals within promotion when a subscription is initially established.
Echelon Local uses the CitySpotz Network, Facebook, and Instagram Social Platforms, along with four major data publishing houses (aggregators) to distribute its business profile data across the web for improved local search visibility and ranking. The type of saturation and exposure a business receives is dependent upon the subscription service it chooses. Standard Visibility subscriptions receive a limited submission to the CitySpotz Network, Social Platforms, and business directories which yield above-average exposure. High Visibility subscriptions receive better submission to the CitySpotz Network, Social Ad Campaigns, and Sync Services for exposure that increases every month. Extreme Visibility subscriptions receive full submission to the CitySpotz Network, Social Ad Campaigns, enhanced Sync Services, and submission to the Major Data Publishing houses. Elite Visibility subscriptions receive full submission to the CitySpotz Network, several Social Ad Campaigns, enhanced Sync Services, and full submission to the Major Data Publishing houses. The CitySpotz Network has 10+ Business Directories that replicate business profiles for immediate search appearance and rank. Sync services replicate business profiles through a network of 30+ business directories. Enhanced Sync Services replicate business profiles through a network of 60+ business directories. The Major Data Publishers receive the business profile from the CitySpotz Network and then distribute the profile to over 300+ online business directories, review sites, and GPS systems with who they are synced at various points of time over 12 months.
Domain names are reserved to coincide with, and as a part of, paid subscription packages, website builds, and landing pages only. Once Echelon Local fulfills a domain order via the CitySpotz Network, Echelon Local shall notify the customer of the successful registration of the domain name(s) based upon its availability, and assign the domain name(s) to an active paid subscription, website build, or landing page contract for the duration of subscription and/or contract terms. The registered Domain(s) will remain active with subscriptions and contracts that have been paid unless terminated. At the end of each contract or term period, the registered domain name will automatically renew for an additional one-year term and the subscriber will give further consent to Echelon Local to extend the terms on your subscription account or contract for an additional year. Such fees for the renewal will be included and/or associated with the listing subscription or contract unless otherwise noted within the contract or subscription to be billed additional fees or charges.
As a clause, if the cancellation of subscription or contracted service occurs, the subscriber will be extended the right to take ownership of the registered domain for a fee of release and transfer of ownership. The domain will then be transferred to another service of choice. In this case, the subscriber gives express permission to debit the subscriber’s account before the domain release and transfer of ownership takes place. The subscriber will expressly agree that registration and renewal fees for some domain names in an included subscription are variable and may differ from registration and renewal fees for other domain names within that included subscription. This includes but is not limited to non-standard pricing for Premium Domain Name registration and renewal fees, which differs from the Standard Domain name registration which is included with subscriptions or other contracts. The subscriber will agree that registration, renewal, and transfer fees for Premium Domain names may incur additional costs. All fees are non-refundable, despite a domain name registration being suspended, canceled, or transferred before the completion of the registration term.
In the event of an issue in connection with your payment method for any services we provide, we may suspend access to your account and any use of the registered and assigned domain name. We, in our sole discretion, may reinstate access to your domain and services upon receipt of any unpaid fees.
You may terminate your virtual phone number at any time, with or without cause, upon notice. Instructions for how to give notice to Echelon Local that you want to terminate your account are provided at echelonlocal.com/cancel and must be followed to effect termination. A Customer Service representative will assist you with terminating your business phone number under the Echelon Local Verification Procedures. Upon termination of your business phone number, the Customer Service representative will provide you with a cancellation number. Your account will not be deemed terminated unless and until you receive the cancellation number.
Echelon Local may terminate or suspend your business phone number at any time, with or without cause, upon notice. Echelon Local reserves the right to do so without prior notice, provided that Echelon Local will attempt to confirm such termination or suspension by subsequent notice. In addition, Echelon Local reserves the right to suspend or terminate your business phone number without notice upon rejection of any credit card charges or if your card issuer (or its agent or affiliate) seeks return of payments previously made to Echelon Local when Echelon Local believes you are liable for the charge. We may assess an additional fee of twenty-five dollars ($25) for any check or charge (credit card or bank account) returned for nonpayment, or for any item required to be processed manually outside of our automatic billing/charging system, and this fee may be automatically added to your bill in these events. If your account is suspended or terminated and Echelon Local later reactivates your account, Echelon Local may also charge you a re-activation fee of $25 (in addition to any Late Fee(s) you may also be charged for a delinquent account), in Echelon Local sole and exclusive discretion. Such rights are in addition to and not in place of any other legal rights or remedies available to Echelon Local. Echelon Local reserves the right to limit the use of the Services or to terminate any account if we believe unreasonable usage has occurred on such account or if the Services are used in a manner that is not permitted by this Agreement. Echelon Local also reserves the right to take any action concerning the Services that it deems necessary or appropriate in its sole discretion if Echelon Local believes you or your usage of service may create liability for Echelon Local, compromise or disrupt the Services for you or others or cause Echelon Local to lose (in whole or in part) the services of Echelon Local suppliers. Echelon Local reserves the right to determine, in its sole discretion, how to address any issues or disputes that arise regarding account access or entitlement to specific telephone numbers. In certain situations, Echelon Local may decide to suspend or terminate the account and/or any telephone numbers associated with the account.
Echelon Local may automatically terminate or suspend your business phone number Free account without notice if: (i) if there is no activity in your account during any continuous sixty (60) day period (for purposes of this determination, advertisements and informational messages sent by Echelon Local are not considered faxes received); (ii) you or an intermediary blocks or filters any emails sent by or on behalf of Echelon Local to the email account(s) associated with your business phone number Free account; or (iii) you opt-out of receiving advertising messages sent to you by Echelon Local or its affiliates.
As part of our paid subscription services, Echelon Local provides monthly social media-based digital advertising with each visibility package, which is considered paid display advertising and targeted social media marketing. The goal is to help businesses establish an online presence and convert prospects from social media into real customers. The results vary based upon the quality of digital content used, chosen location, the reach, engagements, and responses of targeted audiences. We may estimate reach and responses, however, there are no guarantees, nor do we make any claims as to who and how many people will engage and respond. Additional purchased campaigns are bound by the same terms. There are no refunds, nor are there any exceptions offered for AD Campaign services. We provide Business, Grant & Real Estate Marketing Services that consist of preparing a portfolio of documents that can improve the likelihood of receiving grants and Government assistance. However, we do not make claims nor do we guarantee the approval or success of grant or special program acceptances. We do not guarantee the funding of grants or special programs that customers may use or have used portfolios for. We do not offer refunds for portfolio development services. Customer agrees to a 3-week development process to create portfolio deliverables. Development schedule and deadline are dependent upon the customer’s submission of copy, content, and any other required information that is deemed necessary for the timely completion of the portfolio. The Echelon Local Service may contain products and links to channel partner’s services and third-party websites or services that are not owned or controlled by Echelon Local.
Echelonlocal.com has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. However, Echelon Local does honor the policies and integrity of those entities chosen as Channel Partners and will hold those deemed Partners liable for any breach of security and compromise of data. In turn, you, the subscriber, and the customer will further acknowledge and agree that echelonlocal.com shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services that are not listed as a Trusted Channel Partner and Data Sources.
We strongly advise you to read the terms, conditions, and privacy policies of any third-party websites or services that you visit or choose to connect your account to and share content with.
Subscribers retain ownership rights of any intellectual property (content or data) stored in the user’s profiles and listings. When data (content) is stored or otherwise submitted to our servers, you grant Echelon Local (and its Trusted Channel Partners) a worldwide, royalty-free license to use, host, store, reproduce, modify, communicate and distribute your data (content). This license grant is for the limited purpose of operating and improving your visibility and ranking, strengthening our portfolio, proving the functionality of service, and providing enhanced services to you.
Echelon Local reserves the right to delete your profiles, listings, data (all content) from Echelon Local servers if a subscriber fails to pay subscription fees when due. Echelon Local will attempt to send alerts and notifications via email to the address designated in the account before deletion.
These Terms shall be governed and construed by the laws of GEORGIA, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is necessary we will try to provide at least 30 days’ notice before any new term takes effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
